Plain English Summary: By using our platform, you agree to set up an automated monthly payment (SIP) that goes into a secure bank escrow account. We give you immediate access to our AI EdTech tools. Once your escrow hits its target, we use those funds to send your child on an international university tour. Bad behavior gets students sent home, and we don't guarantee visa approvals or university admissions. Let's dive into the details.

1. Introduction & Agreement to Terms

Welcome to Vula Capital. These Terms of Service ("Terms") constitute a legally binding agreement made between you (the "User", "Parent", or "Student") and Vula Technologies Private Limited (CIN: U62013MH2025PTC446682), operating the brands Vula Capital, Kinetix AI, and Bookswala ("Company", "we", "us", or "our").

By accessing our websites, creating an account, or registering an eNACH mandate, you agree to be bound by these Terms. If you do not agree with all of these terms, you are expressly prohibited from using our services.

2. Financial Escrow & SIP Mandates

Our "Save Now, Buy Later" (SNBL) infrastructure relies on automated monthly payments. Here is how your money is handled:

  • No Direct Custody: Vula Technologies does not hold your deposits. All SIP payments are routed directly into RBI-regulated Nodal Escrow Accounts or SEBI-regulated Mutual Funds operated by authorized third-party trustees (e.g., Castler, Razorpay Escrow).
  • eNACH Requirement: Participation requires an active, automated eNACH mandate linked to an Indian bank account matching the registered parent's PAN. Manual monthly transfers are not permitted.
  • Milestone Triggers: Your funds remain yours until specific operational milestones (e.g., visa filing, flight ticketing) are met. Upon milestone verification, the trustee releases the exact required funds to our authorized vendors.
  • Failed Payments: If your auto-debit fails, our system will retry. Continued failure to clear milestones may result in the forfeiture of your child's seat in their selected travel cohort.

3. Kinetix AI EdTech Access & Licensing

Upon clearance of your first SIP (Milestone 1), the enrolled student receives a limited, non-transferable, revocable license to access the Kinetix AI SaaS platform.

  • Fair Use & Plagiarism: The Kinetix AI Statement of Purpose (SOP) Builder is a brainstorming co-pilot. It is explicitly not designed to write essays for you. Submitting AI-generated text to universities violates academic integrity, and we hold zero liability for university rejections resulting from plagiarism.
  • Account Sharing: Sharing your login credentials with unregistered users is strictly prohibited and will result in an immediate, automated suspension of your SaaS access.
  • Intellectual Property: All video masterclasses, quizzes, and software interfaces remain the exclusive intellectual property of Vula Technologies. Downloading or pirating content is strictly forbidden.

4. EduTour Logistics & Student Conduct

All international travel logistics are fulfilled by licensed third-party B2B operators (such as Anubhav EduTours). Vula Capital acts strictly as the financial and tech facilitator.

  • Zero Tolerance Policy: Students represent their schools and our brand. Bullying, harassment, unescorted wandering, or the possession of alcohol, illegal drugs, or vapes will trigger our Repatriation Clause. The student will be immediately isolated and flown back to India at the parent's total expense, with no refunds provided.
  • Medical Emergencies: All students are covered by standard overseas group travel insurance. In an emergency, chaperones will arrange immediate hospital care. Parents agree to authorize emergency medical treatment as deemed necessary by international medical professionals.
  • Dietary & Health Disclosures: Parents must accurately declare all pre-existing medical conditions and severe allergies (e.g., peanut allergies) prior to departure. We are not liable for health issues arising from undisclosed conditions.

5. Cancellations & Refunds

Our refund policy is designed to protect both your capital and our logistical commitments. Detailed matrices are provided in your Digital Escrow Agreement.

  • 15-Day Cooling Off: You may cancel your entire contract within 15 days of your first SIP deduction for a 100% full refund, including the Advisory Retainer.
  • Midway Cancellation: If you cancel after 15 days, 100% of your unspent Travel Reserve is refunded. The initial Advisory Retainer is non-refundable, as it covers the immediate deployment of the Kinetix AI software and B2B partner commissions.
  • Visa Rejections: If a sovereign embassy rejects the student's visa despite authentic documentation, you will receive a full refund of the unspent Travel Reserve. The Advisory Retainer remains non-refundable.

6. K-Points & Parent Referral Program

K-Points are closed-loop digital reward tokens designed to subsidize parent travel.

  • K-Points have absolutely zero cash value and cannot be withdrawn, sold, or transferred to other families.
  • Points earned via the Parent Referral Loop are only credited after the referred family successfully activates their SIP mandate.
  • Vula Capital reserves the right to modify the redemption value of K-Points for future cohorts based on global inflation and flight pricing.

7. Bookswala Corporate Library

For employees utilizing the Bookswala corporate library pass via their HR departments:

  • You may borrow physical books as per your subscription tier.
  • Highlighting, dog-earing, or tearing pages is prohibited. If a book is returned heavily damaged or water-logged, a replacement penalty will be invoiced to your corporate account.
  • Books must be returned to the designated office drop-box upon resignation or termination of employment before final settlement.

8. Disclaimers & Limitations of Liability

Not an Admissions Guarantee: Participation in Kinetix EduTours or usage of Kinetix AI does not guarantee admission to any domestic or international university, nor does it guarantee the awarding of scholarships.

Not a Visa Guarantee: We provide logistical assistance, but visa approvals are the sole discretion of sovereign consulates. We hold no liability for travel delays caused by embassy backlogs.

Force Majeure: We are not liable for cancellations, delays, or itinerary alterations caused by events beyond our reasonable control, including but not limited to Acts of God, global pandemics, airline strikes, severe weather, or civil unrest at the destination.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms, the Escrow Agreement, or the EduTour shall be subject to the exclusive jurisdiction of the courts located in Navi Mumbai, Maharashtra, India.
